  • From "State Liquor Authority Handbook for Retail Licensees," July 2013 CORPORATE CHANGES If your license has been issued in the name of a corporation or limited liability company, you must obtain the approval of the SLA before making any of the following changes to the corporate structure: (a) adding or removing an officer or director of the corporation; or (b) adding or removing a managing member of a limited liability company. In addition, you must also obtain the approval of the SLA before there is a change in the stockholders of the corporation or the members of the limited liability company, or any change in the stock held by an existing stockholder (of the corporation) or the ownership interest of an existing member (of the limited liability company) has in the business. Please note that no approval is needed if there are ten or more stockholders or members and: (a) the change involves less than 10% of the stock or ownership interest; and (b) none of the existing stockholders or members with less than a 10% interest have their interest increased to 10% or more. If you have an on-premises license in New York City, you must notify your Community Board before filing an application to approve a corporate change if you are making a “substantial corporate change.” The notice must be in writing, using the form approved and provided by the Authority. This must be done thirty days before you file the corporate change application, using either: certified mail; an overnight delivery service; or personal delivery to your municipality. For a corporation, a “substantial corporate change” means a change of 80% or more of the officers and/or directors, or a transfer of 80% or more of stock of the corporation, or an existing stockholder obtaining 80% or more of the stock of such corporation. For a limited liability company, a “substantial corporate change” means a change of 80% or more of the managing members of the company, or a transfer of 80% or more of ownership interest in the company, or an existing member obtaining a cumulative of 80% or more of the ownership interest in the company. If you are going to close for any reason for more than one week, you should place your license certificate in safekeeping with the SLA until you are prepared to re-open. The SLA will allow you to keep your license certificate in safekeeping for a reasonable period of time. When you are ready to re-open, you can have the SLA return your license certificate to you. If you do not plan on re-opening your business, you should return (“surrender”) your license certificate to the SLA. You will then be entitled to a refund of any unused portion of your license fee.   • Re Khe-Yo's proposed sidewalk cafe: Mark Forgione & co must realize that their proposal will be controversial because they have more than fulfilled the notification requirements, having sent a multi-page packet of information and explanation to each resident of the adjoining buildings ("helpfully" including a statement of endorsement to be signed, but without instructions as to who to return it to). If they are approved, it'll be quite a slalom between the bike rack just to the east and the mounds of garbage from Weather Up and Bouley just to the west.   • I agree that this is a healthy discussion to be having, and I would guess that the issues will only get worse as the weather gets warmer and the kids want to be outside. I keep seeing reference to "kids from 276" and wonder if anyone has contacted the school administration. I realize that they have no responsibility for kids after hours, but think that the school leadership would care enough to have a meaningful discussion on the consequences of dumb teenage behavior.   • When I was on the Tribeca Committee we had a public member whose business was creating side walkcafes and he kept pushing and pushing to "clean" up Canal Street so people could sit outside amid the gas fumes. We fought him at every turn hoping to keep Canal St the last frontier of old manufacturing downtown, of old artist supply stores and army and navy surplus. Now even our committee is kaput.   • I'm a bit vague on this, but the State Liquor Authority requires a new license if a certain percent of ownership or the "method of operation" changes. I've certainly seen bars and restaurants change direction when a new partner comes onboard, but never with a "for rent" sign preceding it. (Also just for the record, 1 White is the old building at the southeast corner of White and W. Broadway; this is the L-shaped building with the White Street address of 3-7 White, a.k.a. 221 W.
